1. Agreement to Terms

Zeplicate provides automation services, including the design, build, and maintenance of business workflows ("Services"). The scope of services for each project will be detailed in a separate proposal or agreement.

3. Client Responsibilities

You agree to provide us with all necessary access to information, systems, and personnel required to perform the Services. You are responsible for the accuracy and completeness of all information provided.

4. Fees and Payment

Fees for our Services will be outlined in a project proposal. Unless otherwise agreed, payment is due according to the schedule specified in the proposal. Late payments may incur additional charges.

5. Intellectual Property

Upon full payment, you will own the specific automation workflows we create for you. However, we retain ownership of all our pre-existing intellectual property, including our methodologies, tools, and generic code used to provide the Services.

6. Confidentiality

We will treat all information you provide as confidential and will not disclose it to any third party without your consent, except as required by law or to our employees and contractors who need to know such information to perform the Services.

7. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising out of or in connection with the Services, whether in contract, tort, or otherwise, is limited to the total fees paid by you for the Services in the preceding 12 months. We are not liable for any indirect, incidental, or consequential damages, including loss of profits or data.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.

9. Changes to Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on this site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
